Terms & Conditions

1. Introduction

By participating in the “Earn Raffles Campaign — xPortal × DeFindex” (the “Campaign”) you are agreeing to these Terms and Conditions. The Campaign is being organized by xPortal Equity AG, a Liechtenstein limited liability company, having its registered office at Werdenbergerweg 11, 9490 Vaduz, Liechtenstein (hereinafter referred to as “xPortal”), in collaboration with DeFindex as a technology partner.

2. xPortal App

xPortal is a mobile application that allows Users (the “Users” or “you” meaning all individuals, institutions, or organizations that access, download, or use xPortal and who meet the criteria and conditions stipulated by the terms and conditions that govern the use of the xPortal app) to conveniently access, send, and receive their crypto and digital assets.

xPortal is a non-custodial wallet. This means:

  • xPortal is a decentralized wallet and you, and only you, hold the private keys to your cryptocurrency wallet. This means that xPortal is not able to access your private keys without your volition and consent.
  • xPortal is a User-controlled wallet so only the User has control over their funds.
  • You understand that if you lose your recovery words (and the private keys associated with it), you will not be able to access your wallet and funds.

3. DeFindex Role & Disclaimer

DeFindex participates in this Campaign as a technology partner providing the infrastructure for the "Earn" and "Vaults" products and as the entity responsible for prize fulfillment.

  • Technological Infrastructure: DeFindex provides the underlying technology for the vaults.
  • Prize Distribution: DeFindex is responsible for distributing the prizes to the winners selected by xPortal.
  • No Control Over Outcomes: DeFindex acts as a technology collaborator with no control over the raffle mechanics, draw process, or selection of winners.
  • Liability: xPortal is solely responsible for the execution of the raffles and the selection of winners, while DeFindex is responsible for the distribution of the prizes.

4. Eligibility

The Campaign is open to individuals who are at least 18 years old and reside in a jurisdiction where these types of competitions are legal and where xPortal services are available.

The following are not eligible to participate:

  • Employees, contractors, or direct collaborators of xPortal or DeFindex.
  • Accounts that are suspended, restricted, or flagged for fraudulent activity.

By entering the Campaign, you confirm that you are eligible to do so and that you are eligible to receive any prizes that may be awarded to you. There is a limit of one account per person.

5. Campaign Period

The Campaign runs from January 13 at 5 PM UTC (“Start Date”) and ends on January 31 at 11:59 PM UTC (“End Date”).

xPortal reserves the right to extend, modify, or terminate the Campaign early for operational, technical, or regulatory reasons.

6. How to Enter (Mechanics)

To enter the Campaign, participants must read and accept these Terms and Conditions, install the xPortal app, and perform the following actions within the Campaign Period:

  1. Navigate to the Earn > Lending section of the xPortal app.
  2. Deposit USDC (specifically on the Stellar Network) into the vaults integrated via DeFindex.
  3. Maintain the deposited balance throughout the Campaign Period.

Weighted Raffle System:

  • Each 15 USDC (Stellar) deposited is equivalent to 1 Raffle Ticket.
  • Higher deposited amounts generate a higher number of tickets, resulting in a proportionally higher probability of winning.
  • There is no maximum limit on the number of tickets per User.

Exclusions:

  • Funds withdrawn before the End Date are not eligible.
  • Internal transfers not associated with the DeFindex Earn/Vaults section are not eligible.
  • Deposits made outside the xPortal interface are not eligible.

7. Warranties & Conduct

A participant must not interfere with or disrupt the administration of the Campaign or engage in any action that may manipulate the Campaign. As a participant, you must refrain from:

  • Participating with multiple accounts (wallet/address) to manipulate the raffle odds;
  • Making any warranties and/or representations concerning xPortal;
  • Submitting false, inaccurate, deceptive, or misleading information;
  • Engaging in any activity that constitutes or encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any applicable law;
  • Using robots, crawlers, and similar applications to collect and compile content from xPortal.

xPortal shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Terms & Conditions. xPortal reserves the right to invalidate artificially generated tickets or disqualify multiple accounts linked to the same individual.

8. Prizes and Winner Selection

The total prize pool for the Campaign is 2,000 USDC.

Winner Selection: Winners will be selected using a weighted random mechanism based on the number of tickets held. The selection system will be operated and internally audited by xPortal.

Prize Structure: The prize pool will be split into three separate raffles executed on predefined dates:

  • Raffle 1: 500 USDC
  • Raffle 2: 750 USDC
  • Raffle 3: 750 USDC

9. Notification

Winners will be notified via xPortal official communication channels within 7 business days of the draw.

  • Claim Period: Claims regarding prizes must be submitted within 10 business days following prize notification.
  • Forfeiture: If a winner cannot be reached, does not respond, or fails verification within the stipulated timeframe, the prize may be forfeited.

10. Data Protection and Publicity

You agree that any personal information provided when entering the Campaign will be used by xPortal for the purposes of administering the Campaign and for other purposes as specified in our Privacy Policy. xPortal may require additional verification prior to final prize distribution.

11. Intellectual Property

All rights, title, and interest in and to this Campaign or to xPortal (the “Intellectual Property”) are the exclusive property of xPortal and its licensors. You may not copy, reverse engineer, modify, or create derivative works of the xPortal Intellectual Property.

12. Release

By entering the Campaign, participants release xPortal, DeFindex, and their respective affiliates from any liability arising out of participation in the Campaign or the acceptance or use of the prizes. xPortal accepts no liability for any damage, loss, injury, or disappointment suffered by any entrants as a result of participating in the Campaign.

13. Governing Law and Disputes

These Terms and Conditions and the Campaign shall be governed by and construed in accordance with the laws of Romania.

Any disputes arising between xPortal and the participants will be resolved amicably. When an amicable settlement is not possible, the participants consent to personal jurisdiction in and the exclusive venue of the courts of Romania and expressly waive any right to object to such personal jurisdiction.

14. Changes

xPortal reserves the right to modify these Terms and Conditions, or suspend or cancel the Campaign, at any time for technical, operational, regulatory, or force majeure reasons. Any changes will take effect upon publication through xPortal’s official communication channels.

15. Risk Warning

Cryptocurrency investment is subject to high market risk. xPortal does not provide any investment or financial advice whatsoever. We are not responsible for any direct, indirect, or consequential losses as a result of this Campaign. Please carry out your actions with considerable caution.
